Terms of Service
Effective October 9, 2026
These terms are an agreement between you and APPSTUDIO26 LLC, an Illinois limited liability company (“we”, “us”). They cover the Palomino app for macOS, your Palomino account, and the websites at trypalomino.com and account.trypalomino.com (together, “Palomino”). By creating an account or using Palomino, you agree to these terms and to our Privacy Policy. If you don’t agree, don’t use Palomino.
1. Who can use Palomino
You must be at least 13 years old. If you are under 18, a parent or legal guardian must agree to these terms on your behalf, and they are responsible for your use of Palomino and for any payments.
If you use Palomino for a company or other organization, you agree to these terms for that organization and confirm that you’re authorized to do so.
You may not use Palomino if you are barred from doing so under U.S. law, including U.S. sanctions and export laws.
2. Your account
You sign in with a one-time code sent to your email address. Keep access to that email address secure, because anyone who can read it can sign in as you. Give us an email address you control, and keep it current.
An account is for one person. Don’t share it, sell it, or let others use it. You are responsible for everything done through your account. Tell us at [email protected] if you think someone else has used it.
3. Subscription and payment
Palomino requires a paid subscription, unless we have given your account free access. The subscription costs US$5 per month, plus any applicable taxes, unless a different price is shown when you subscribe.
- Automatic renewal. Your subscription renews automatically every month and is charged to your payment method at the start of each billing period, until you cancel.
- Cancelling. You can cancel at any time from Billing on your account page. Cancelling stops future charges. You keep access until the end of the period you already paid for.
- No refunds. Payments are non-refundable, and we don’t give refunds or credits for partial months or unused time, except where the law requires it.
- Failed payments. If a payment fails, our payment processor will retry it for a while. If it still can’t be collected, your subscription ends and Palomino stops working until you subscribe again.
- Price changes. We may change the price. We’ll email you at least 30 days before a new price applies to your subscription, and you can cancel before then.
- Payment processing. Payments are handled by Stripe. Your use of Stripe is also subject to Stripe’s terms. We never see or store your full card number.
- Free access. We may give free access at our discretion, for the period we choose, and may end it when that period ends.
4. Your license to use Palomino
While your account has an active subscription or free access, we give you a personal, limited, non-exclusive, non-transferable, revocable license to install and use Palomino.
- One Mac at a time. Each account can be active on one Mac at a time. You can move your license to another Mac, which deactivates it on the previous one. We limit how often you can move it.
- Checking your license. Palomino checks your subscription with our server from time to time, and needs to reach it at least once every 7 days to keep working.
- When access ends. When your subscription or free access ends, Palomino stops letting you work in it until access is restored. It doesn’t delete your files.
You agree not to
- get around, disable, or interfere with licensing, sign-in, or the one-Mac limit, or copy or share license credentials;
- copy, sell, rent, lend, sublicense, or redistribute Palomino, or give others access to it;
- reverse engineer, decompile, or disassemble Palomino, except where the law allows it despite this restriction;
- attack, overload, probe, or scrape our servers, or get around their rate limits;
- use Palomino to break the law, to infringe others’ rights, or to violate the terms of the services you use with it.
5. AI agents and other third-party services
Palomino runs AI coding agents and other tools on your Mac, including Claude Code, Codex, and Pi, together with terminals, web pages, and the iOS Simulator. These tools are made by other companies.
- Your own accounts. You sign in to these tools with your own accounts. Your prompts, code, and files go directly from the tools on your Mac to their providers, such as Anthropic or OpenAI, not to us. Each provider’s terms and privacy policy govern that use.
- Their costs. You pay any fees, usage charges, or limits that come with those accounts. Your Palomino subscription doesn’t include them.
- Supporting software. Palomino downloads and updates the open-source adapters that connect these agents to Palomino from the npm registry. Your copies are covered by their own licenses.
- No control over them. We don’t control these services and aren’t responsible for their availability, output, or changes. They may change or stop working with Palomino at any time.
Agents act on your computer. Depending on the permissions you give them, agents can read, create, change, and delete files, run commands, and connect to the internet. They can make mistakes. You are responsible for the permissions you grant, for reviewing what agents do, for any code or content you use or publish, and for keeping backups of your work.
6. Your content
Your code, files, prompts, chats, and other content stay yours. Palomino keeps your workspaces, settings, and chat history on your Mac, and we don’t receive them. You are responsible for having the rights to the content you work with in Palomino.
If you send us feedback or suggestions, we may use them freely, without owing you anything.
7. Our property
Palomino, including its software, design, names, and logos, belongs to us and our licensors and is protected by intellectual property laws. These terms don’t give you any rights to it beyond the license in section 4. Open-source components in Palomino are licensed under their own terms, and nothing here limits your rights under those licenses.
8. Changes to Palomino
Palomino offers new versions in the app, and they install when you choose to restart into them. We may add, change, or remove features, and change which tools and services Palomino works with. If we stop offering Palomino entirely, we’ll tell you in advance and end billing.
9. Ending this agreement
You can stop using Palomino at any time. To close your account, cancel your subscription and email [email protected].
We may suspend or close your account if you seriously or repeatedly break these terms, if you don’t pay, if the law requires it, or to protect Palomino, its users, or others from harm. Where reasonable, we’ll tell you first.
When this agreement ends, your license ends. Sections 5 through 7 and 10 through 14 continue to apply.
10. Disclaimer of warranties
Palomino is provided “as is” and “as available”. To the fullest extent the law allows, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We don’t promise that Palomino will be uninterrupted, error-free, or secure, that it will work with any particular agent or service, or that anything produced with it will be accurate or fit for your purpose.
11. Limitation of liability
To the fullest extent the law allows, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, files, code, profits, revenue, or business, including losses caused by actions an AI agent takes on your computer, even if we were told they were possible. Our total liability for all claims relating to Palomino or these terms is limited to the greater of the amount you paid us in the 12 months before the claim arose and US$50.
Some places don’t allow some of these exclusions or limits, so they may not apply to you. Nothing in these terms limits liability that can’t be limited by law.
12. Indemnity
If someone brings a claim against us because of content you used with Palomino, your breach of these terms, or your violation of the law or someone else’s rights, you will cover our reasonable losses and costs from that claim, including reasonable legal fees, to the extent the law allows.
13. Governing law and disputes
These terms are governed by the laws of the State of Illinois, USA, without regard to its conflict-of-law rules. Any dispute relating to Palomino or these terms will be decided only by the state or federal courts located in Illinois, and you and we both agree to their jurisdiction. If you are a consumer, you also keep any protections that the mandatory laws of the place you live give you.
14. General
- Changes to these terms. We may update these terms. If a change is significant, we’ll tell you by email or in Palomino before it takes effect, and we may ask you to agree to the new version when you next sign in. If you keep using Palomino after a change takes effect, you accept the updated terms.
- Notices. We may send you notices at your account’s email address. You can send notices to [email protected].
- Entire agreement. These terms and the Privacy Policy are the whole agreement between you and us about Palomino.
- Severability and waiver. If a court finds part of these terms unenforceable, the rest stays in effect. If we don’t enforce a right, we haven’t given it up.
- Assignment. You may not transfer these terms or your account to anyone else. We may transfer them as part of a merger, acquisition, or sale of our business.
- Events beyond our control. We aren’t responsible for failures caused by events outside our reasonable control.
